Slim Academy B.V. is registered with the Dutch Chamber of Commerce under Chamber of Commerce (KvK) number 24438740<\/b>.<\/p>\n
Article 1 \u2013 Applicability <\/b><\/p>\n
1.1 These General Terms and Conditions apply to all agreements of Slim Academy, to the exclusion of any other general terms and conditions. Unless otherwise agreed in writing or by digital communication, all provisions apply in full.<\/p>\n
1.2 Registration with the Slim Academy system is free of charge.<\/p>\n
1.3 The other party is deemed to provide truthful information at all times.<\/p>\n
1.4 The other party is personally and unconditionally responsible for his\/ her account.<\/p>\n
1.5 Placing an order means that the other party accepts the applicability of these Terms and Conditions; the other party agrees to this during the ordering process.<\/p>\n
Article 2 \u2013 Product and infringement of intellectual property <\/b><\/p>\n
2.1 Ownership of the delivered products only passes once the other party has paid everything owed to Slim Academy under the agreement. However, the risk does pass to the other party at the moment of delivery.<\/p>\n
2.2 Slim Academy strives for optimal quality of its products. Slim Academy, its employees and authors, or others associated with Slim Academy, accept no liability whatsoever for any errors or consequences, of whatever nature, arising from a report. A report is a supplement to attending classes, not a replacement.<\/p>\n
2.3 Copying, in whole or in part, as well as reproducing the content of delivered products, in any form whatsoever, is prohibited without the prior, written and express permission of Slim Academy.<\/p>\n
2.4 The other party or third parties must fully and unconditionally respect all intellectual and industrial property rights vested in the delivered products. Failure to do so constitutes one or more offences under articles 33 and 34 of the Dutch Copyright Act 1912 (Auteurswet 1912). Slim Academy will be obliged to report this to the police and will impose one or more fines, which will accrue to Slim Academy for the purpose of paying the authors.<\/p>\n
2.5 All supplements and updates of products are only available for the academic year concerned. Slim Academy is not liable for damage resulting from the removal of supplements, updates and online courses after the end of the academic year.<\/p>\n
Article 3 \u2013 Prices <\/b><\/p>\n
3.1 Prices stated on the website include VAT.<\/p>\n
3.2 Price changes and typing errors are reserved. No rights can be derived from the information on the websites managed by Slim Academy.<\/p>\n
3.3 Slim Academy reserves the right to change prices, in particular when this proves necessary on the basis of (statutory) regulations.<\/p>\n
Article 4 \u2013 Orders <\/b><\/p>\n
4.1 Slim Academy is not liable for misunderstandings, distortions, delays or improper transmission of orders and notifications resulting from the use of the internet or any other means of communication in dealings between the other parties and Slim Academy, or between Slim Academy and third parties, insofar as relating to the relationship between the other parties and Slim Academy, unless there is intent or gross negligence on the part of Slim Academy.<\/p>\n
4.2 Slim Academy reserves the right to refuse delivery to customers in view of doubtful debtors or orders that are not serious.<\/p>\n
4.3 Orders for paper summaries placed before 19.00 will be shipped by Slim Academy on the same day, provided the products are available. Orders for digital products will be made available online immediately.<\/p>\n
4.4 Slim Academy is entitled to engage third parties in the execution of orders.<\/p>\n
Article 5 \u2013 Delivery <\/b><\/p>\n
5.1 Without prejudice to its other rights, in the event of force majeure Slim Academy has the right to suspend the execution of the order or to dissolve the agreement without judicial intervention, by notifying the other party electronically, without Slim Academy being obliged to pay any compensation. Force majeure means any failure that cannot be attributed to Slim Academy because it is not due to its fault and is not for its account by virtue of the law, a legal act or generally accepted views.<\/p>\n
5.2 The stated delivery times are indicative. Exceeding any delivery period does not entitle the other party to compensation, nor to cancel the order or dissolve the agreement, unless the delivery period is exceeded, despite a timely order, to such an extent that the other party does not receive the products in time due to intent or gross negligence on the part of Slim Academy. Only in that case is the other party entitled to cancel the order or dissolve the agreement, insofar as this is necessary. If the ordered products have not been delivered 3 (say: three) days after ordering with direct debit, the other party is entitled, on a one-off basis, to have the order sent again. The other party is reminded to enter personal details correctly.<\/p>\n
5.3 The other party must ensure that the order is placed in good time before being able to invoke article 5.2.<\/p>\n
5.4 Slim Academy is not liable for goods delivered incorrectly, not at all or late by third parties, unless this is due to intent or gross negligence on the part of Slim Academy. We refer to the postal service complaints procedure in article 6 of these General Terms and Conditions.<\/p>\n
5.5 Slim Academy is entitled to engage third parties in the execution of orders.<\/p>\n
